The reason behind the swap offer is the merger, initiated more than two years ago, between Atel and the operating activities and assets of EOS Holding and possibly also the Swiss assets of the EDF Group. In this context Atel Holding Ltd (formerly Motor-Columbus Ltd) is submitting to shareholders of Aare-Tessin Ltd. for Electricity an offer to exchange their shares for shares in Atel Holding Ltd. The aim is to simplify structures between Atel and its parent company, Atel Holding Ltd. The Board of Directors of Atel Holding recommends that all shareholders accept the offer.
The offer prospectus was published on 12 November 2007. The prospectus as well as additional information is available for downloading on the Atel Holding website (www.atel-holding.com) and the Atel website (www.atel.eu).
The offer was already announced on 8 October 2007. If not all of the Atel shares are exchanged during the public swap offer period, full control by Atel Holding over its operating company Atel will be achieved in a series of further steps (annulment procedure or squeeze-out merger). Atel shares will then be delisted from the SWX Swiss Exchange. This paves the way for the merger of the Atel Group with the operating activities and assets of EOS Holding and possibly also the Swiss assets of the EDF Group. This step is planned for the middle to end of next year, prior to which Atel Holding will be renamed and its head office moved to Neuchatel. The full industrial integration of Atel and the operating activities and assets of EOS Holding as well as possibly the Swiss assets of the EDF Group is expected to take place at the beginning of 2009.
